Call to Manifest Interest for the acquisition of participation shares in the capital of the mining subsidiary companies of the ENOF Group

1. Object of the Call:

The objective of this call is the preselection of National and/or Foreign Investors likely to be interested by a majority acquisition of a holding in the capital of the companies DlATAL, SOMIBAR and SOFELD, subsidiaries of Group ENOF, joint stock company affiliated to the MANAGEMENT AND PARTICIPATION TRUST COMPANY IN MINING « SGP SOMINES » Spa.

This call is done within the scope of the institutional device, currently in force, in particular the ordinance n°01.04 issued on the 20th of August 2001, relative to the organization, the management and the privatization of the Economic Public Companies and the relevant Resolutions of the State Participations Council (CPE).

2. Companies concerned by this call:

These companies are affiliated with Group ENOF Spa (Undertaken National of the Nonferrous Mining Products and the useful Substances), located 31 street Mohamed HATTAB Hacène Baddie El Harrach Algiers.

A Data Roorn is opened to the interested investors at the head office of ENOF Group (31, rue Mohamed Hattab Hacène Baddie El Harrach Alger), from Saturday to Wednesday, 9. 00 a.m to 5 p.m. 00,

In this Data Room they can consult all technical and financial documentation concerning the different ore deposits and companies.

3. Conditions of  participation:

The candidates must justify of their investment capacities and possibilities of mobilization of know how in connection with the profession trades, the inheritance and the objectives of perpetuation and development of the companies concerned by this call.

For this reason, they must transmit a letter to express their interest, accompanied in particular by:

• A presentation of the candidate containing all useful informations to enablel.
• The evaluation in particular its possibilities of potential reprenor.
• A declaration on the honor attesting that the candidate is not in a situation of bankruplcy.
• A mandate of enabling to whom represent the candidate.

The demonstration of interest should not contain any technical and/or financial offer.

4. Procedures and time:

The preselected candidates will be invited by the SGP SOMINES which will propose them a project of Agreement fixing the conditions, the procedures and the calendar of realization of their due diligence of preparing and submitting their offer.
